U.S. Suppliers:

Suppliers Outside the U.S.

Foreign suppliers outside the U.S., must complete the following:

• W-8BEN Form (PDF)
• W-8BEN-E Form (PDF)
• Electronic Payment Form/ACH Payments (PDF)
• 8233 (PDF) Foreign individuals who receive compensation for services performed in the U.S. and fall under a tax treaty exemption between the U.S. and the individual's home country. If the foreign independent contractor does not have a US taxpayer ID number and does not want taxes withheld, then they will need to submit form W-7 to the IRS. A copy of the filed form W-7 must then accompany form 8233.

NOTE: A supplier must be set up in Roche / Genentech's SAP system in order to issue payment. Roche / Genentech requires three to five business days from the date of receipt of the completed forms to set up the supplier in the system.

Genentech utilizes two supplier portals to make it easier for our suppliers to do business with us:

• myBuy GEP SMART for indirect procurement suppliers
• GEP NEXXE for direct procurement suppliers

These portals are a one-stop shop for receiving POs, submitting invoices, tracking order / payment status and keeping supplier profiles up-to-date. Learn more about using our supplier portals.

Suppliers should have a valid purchase order (PO) number before providing any goods and / or services to Genentech. Suppliers agree to review such orders and immediately contact the requester listed on the PO if there are any issues that will result in the order not being fulfilled as requested. The PO is considered confirmed by the supplier unless there is a notification to the requester within three business days of the PO issue date stating otherwise.

Invoices can be submitted by:

• Enterprise resource planning (ERP) system submittal if you are set up that way

When submitting invoices to Genentech:

• Include your vendor name, vendor invoice number, vendor invoice date, remit address, payment terms, discounts, Genentech PO number (if there is one).
• The invoice must contain: detailed summary of charges and amount of charges, including the following information which must match the PO (if applicable): item / service description, quantity ordered, unit of measure, price and total cost for each product / service.
• If your order type doesn't require a PO, please follow the non-PO invoice instruction as per your contract and / or requester.
• Please do not invoice for more than the value shown on the PO. Request an additional PO or change order from your Genentech contact, if you are asked to deliver more, or provide additional services not shown on the original PO. Invoices that do not show the PO number, or exceed the value on the PO, are automatically rejected by the system, and cannot be immediately matched and paid.
• Do not send in duplicate invoices, unless requested by Vendor Finance. This causes further delays in the processing time of your original invoice.
• If the price shown on the PO is incorrect, contact the requester named on the PO, before invoicing.

Expenses incurred by contractors who work with Genentech: All supplier expenses are to be vetted by the Roche Responsible Person, and will receive reimbursement from their employer only for reviewed expenses incurred in accordance within the negotiated contract with guidance from the company Travel & Expense Reimbursement Policy. It is a violation of this policy for a Roche Responsible Person to file a personal expense report or to otherwise seek reimbursement or payment on behalf of a Contractor. Logistic Management Shipping Procedures

The Logistics Management Department at Genentech has instituted an Inbound Routing Program as part of a comprehensive supply chain management initiative to provide suppliers with detailed instructions that will streamline the processes of receiving, stocking, and consuming materials, while reducing freight and handling costs.

Temperature Sensitive

All temperature sensitive products must be transported in validated packaging which contains the appropriate materials (insulation material) to meet product specifications during transit. If qualified packaging is not used, then the shipment must be sent via temperature controlled transportation and be 100% monitored.

When contacting Logistics Management with routing questions, ensure the following information is available:

• Shipping and recipient address
• Number of pallets, weight and dimensions of the shipment (if dimensions are not available, an estimate)
• Valid Genentech cost center to charge
• Purchase order number
• NMFC item number, if available

International

Step 1: Collect the following information on the shipment and the service needed

• Destination country, address, a contact person and phone number of the receiving party.
• Exact pick-up location, hours of operation, a contact, and when the shipment will be ready.
• Description of the material being shipped and whether hazardous for transportation (this can be found on the SDS)
• Find the proper shipping name
• UN number
• Hazard class
• Packaging group of the material
• Number of pieces, weight and dimensions of the shipment (if not available, an estimate) and if it is a large shipment the number pallets
• When the shipment needs to be delivered at the destination
• Cost center to bill
• Purchase order number, if available

Step 2: Contact AIT Worldwide Logistics to arrange overseas pick-up. AIT Worldwide Logistics is Genentech’s primary broker and freight forwarder for International moves.

If there is a condition where AIT Worldwide Logistics cannot be utilized, contact Trade Compliance Import Operations at [email protected].

Step 3: Prepare a customs invoice, packing list (if necessary) and a Shipper’s Letter of Instruction to provide to the driver during pick-up and to AIT Worldwide Logistics for transmission.

Genentech requires that the commercial invoice for imported or international shipments contain a "detailed description of the merchandise," an accurate transaction value, including any additions to the price actually paid or payable (the price we pay to the supplier). Additionally, every article imported into the U.S. must be marked with the country of origin of the article in English.

Invoices / Import Documents must contain the following:

• Detailed Description of the Merchandise (example: Correct = Benzoic Acid, Incorrect = Organic Chemical)
• Accurate Value reported based upon the full PO value (must include the material, fabrication costs and any other values applicable such as assists or royalties)
• Country of Origin
• Intended Use (e.g. parts for electric spectrometers)
• Genentech Purchase Order Number

For Chemicals, the following information must be supplied. The majority of these details are available on the Safety Data Sheet (SDS) which must accompany the shipment:

• Chemical Name (example: Correct = Benzoic Acid, Incorrect = Organic Chemical)
• CAS (Chemical Abstracts Service) Number, if applicable
• Intended Use (e.g. chemical for waterproofing clothing)
• Functional Group (e.g. Acid, Alcohol, Ester, Ether, Ketone, etc.)
• For purchased products, the value should reflect the amount the supplier is paid, which generally is the purchase order amount. However, some agreements provide for additional payments which may not be known at the time of importation.
• For products sent on a no charge basis the supplier must provide the cost of materials, labor and fabrication costs, general expenses and profit (if any).
